1. Acceptance of Terms

By accessing and using the Vera RCM website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. Vera RCM reserves the right to update these terms at any time. Your continued use of our services following the posting of revised terms means that you accept and agree to the changes.

2. Description of Services

Vera RCM provides comprehensive revenue cycle management (RCM) services designed to optimize financial performance for healthcare providers. Our services include:

Revenue Cycle Management: End-to-end management of the billing lifecycle, including claims submission, denial management, and accounts receivable optimization.

Medical Billing Services: Professional billing operations including coding, claim preparation, submission, and follow-up to maximize reimbursement.

Vera ERA: Electronic Remittance Advice processing and reconciliation services to streamline payment posting and reduce administrative burden.

Vera Vault: Secure document management and storage solutions for healthcare organizations requiring HIPAA-compliant record retention.

EMS Billing: Specialized revenue cycle and billing services for emergency medical services and ambulance providers.

3. User Accounts

Access to Vera RCM services may require creation of an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to notify us immediately of any unauthorized use of your account. Vera RCM is not liable for any loss or damage resulting from your failure to maintain account security.

4. Acceptable Use

You agree not to use Vera RCM services for any unlawful purpose or in any way that violates these terms. Prohibited activities include, but are not limited to: unauthorized access to systems, disruption of service operations, transmission of malware, harassment, infringement of intellectual property rights, and violation of healthcare privacy laws including HIPAA.

5. Intellectual Property

All content, materials, software, and intellectual property on the Vera RCM website and in our services, including but not limited to text, graphics, logos, images, and software code, are owned by or licensed to Vera RCM. You may not reproduce, distribute, transmit, modify, or otherwise use any of this content without our prior written permission.

6. Limitation of Liability

To the maximum extent permitted by law, Vera RCM and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid to Vera RCM in the twelve months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Vera RCM and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to your use of our services, violation of these terms, violation of any law or third-party rights, or infringement of intellectual property rights.

8. Termination

Either party may terminate access to our services with 30 days' written notice. Vera RCM may terminate access immediately in cases of material breach, fraud, or violations of applicable law. Upon termination, your right to use our services ceases immediately. Any provisions of these terms that by their nature should survive termination, including limitations of liability and indemnification, shall continue in effect.

9. Governing Law

These Terms of Service and all related matters shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. You irrevocably consent to the jurisdiction and venue of the federal and state courts located in Cook County, Illinois.

10. Dispute Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute with Vera RCM through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules, with arbitration to take place in Chicago, Illinois. Each party shall bear its own costs and attorneys' fees, except as otherwise provided by law.

11. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Force Majeure

Vera RCM shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, pandemics, or other force majeure events.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and Vera RCM regarding the use of our services.

15. Changes to Terms

Vera RCM reserves the right to modify these Terms of Service at any time. We will notify you of material changes by updating the "Effective Date" at the top of this document and posting the revised terms on our website. Your continued use of our services after posting of revised terms constitutes your acceptance of the changes.
